1 Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Codesona ("we", "us", or "our") regarding your use of the Codesona code culture management platform and related services (collectively, the "Service").

By accessing, browsing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Service.

2 Service Description

Codesona provides a rule management platform that enables development teams to centrally store, manage, and share coding rules and standards. Our Service includes:

  • Centralized repository for team coding rules and standards
  • Rule approval workflow for team collaboration
  • Automatic synchronization of approved rules across team members
  • Integration with any MCP-compatible IDE through Model Context Protocol (MCP)
  • Option to make rules public for community sharing

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3 User Accounts

3.1 Account Registration

To use certain features of our Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal, harmful, or unauthorized purpose
  • Attempt to gain unauthorized access to any portion of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Create false identities or impersonate others
  • Upload, share, or transmit harmful, offensive, or illegal content
  • Use automated systems to access the Service without authorization
  • Reverse engineer, decompile, or otherwise attempt to derive source code
  • Violate any applicable laws, regulations, or third-party rights

5 Rules & User Content

5.1 Your Rules

You retain full ownership of all coding rules, standards, and content you create or upload through the Service ("User Rules"). You grant us a worldwide, royalty-free license to use, process, store, and display your User Rules solely for the purpose of providing and improving our Service.

5.2 Private vs. Public Rules

By default, all rules created by you are private to your team. You may choose to make your rules public, which allows other Codesona users to view and use them. Once made public, you grant other users a non-exclusive license to use your public rules.

5.3 Content Responsibility

You are solely responsible for your User Rules and the consequences of sharing them, whether within your team or publicly. You represent and warrant that you have all necessary rights to your User Rules and that they do not violate any third-party rights, including proprietary information or trade secrets.

5.4 Content Monitoring

We reserve the right, but have no obligation, to monitor, review, or remove User Rules that violate these Terms or are otherwise objectionable, without prior notice, particularly for public rules.

6 Team Collaboration & Approval Workflow

6.1 Team Rules

Our Service enables teams to collaborate on coding rules. All team members with appropriate permissions can create, edit, and propose changes to rules within their team.

6.2 Rule Approval Process

When team members create or modify rules, these changes are submitted to designated approvers within your team. Only approved rules are synchronized across team members' environments. Teams are responsible for establishing their own approval workflows and designating appropriate approvers.

6.3 Automatic Synchronization

Once rules are approved by your team's designated approvers, they are automatically synchronized to all team members through any MCP-compatible IDE. You are responsible for ensuring that your development environment is properly configured to receive these updates.

6.4 Team Responsibility

Team administrators are responsible for managing user access, permissions, approval workflows, and ensuring that all team members comply with these Terms. We are not responsible for disputes between team members, incorrectly approved rules, or unauthorized access granted by team administrators.

7 Any MCP IDE Integration

7.1 Model Context Protocol (MCP) Integration

Our Service integrates with any MCP-compatible IDE through the Model Context Protocol (MCP). This integration enables automatic synchronization of approved rules to your local development environment. You are responsible for properly configuring your MCP-compatible IDE to connect with our Service.

7.2 Rule Synchronization

Approved rules are automatically synchronized to all team members' MCP-compatible IDE installations via MCP. Synchronization occurs when: (a) rules are approved by team approvers, (b) you connect your MCP-compatible IDE to our Service, or (c) you manually trigger a sync. We do not guarantee real-time synchronization and sync delays may occur.

7.3 Third-Party Integration

Our integration with MCP-compatible IDEs is dependent on third-party software and protocols. We are not responsible for issues, bugs, or limitations in any IDE or the MCP protocol that may affect the functionality of our Service.

7.4 Usage Limits

We may impose usage limits on rule storage, team size, and synchronization frequency based on your subscription plan. Excessive usage may result in temporary service limitations or additional charges.

8 Privacy & Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Service, you consent to the collection and use of your information in accordance with our Privacy Policy. We implement industry-standard security measures to protect your data, including your private rules and team information, but cannot guarantee absolute security.

Public Rules: When you choose to make rules public, those rules and associated metadata (such as author name and description) will be visible to all Codesona users. Ensure you do not include sensitive, proprietary, or confidential information in rules you make public.

9 Payment Terms

9.1 Subscription Fees

Certain features of our Service require payment of subscription fees. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

9.2 Billing

Subscription fees are billed in advance on a monthly basis. You authorize us to charge your designated payment method for all applicable fees.

9.3 Price Changes

We reserve the right to change our pricing with 30 days' notice. Changes will take effect at the beginning of your next billing cycle.

9.4 Free Trial

We may offer a free trial period for new users. At the end of the trial period, you will be automatically charged unless you cancel before the trial ends.

10 Termination

10.1 Termination by You

You may terminate your account at any time by following the cancellation process in your account settings or by contacting our support team. Upon termination, your access to the Service will cease.

10.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason in our sole discretion, with or without notice.

10.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, retain or delete your User Content at our discretion.

11 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any content obtained through the Service.

12 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

13 Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of Turkey, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey. However, we may seek injunctive relief in any jurisdiction to protect our intellectual property rights.
